Hindustan Zinc’s corporate governance structure ensures robust oversight and management accountability towards sustainability.
We have a three-tier sustainability governance framework that covers all the ESG aspects. It enables us to set short- and long-term goals and facilitates systematic monitoring of performance at all levels. Our robust and transparent governance structure guides us towards achieving our sustainability goals.
Sustainability and ESG Committee at the Board level to enhance our focus on sustainability and ESG. The committee comprises of an independent director, an executive director, and two non-executive nominee directors. It is chaired by an Independent Director, responsible for providing oversight and for formulating our sustainability strategy on various issues, including climate change, environment, safety, transparent disclosures and setting of long-term goals.
The Sustainability Committee, chaired by our CEO, is responsible for formulating our sustainability strategy, and setting the Company’s long-term goals and targets. It consists of 10 communities to manage and coordinate the sustainability process, and strategically guide us towards achieving our Sustainability Goals 2025.
We have set up 10 sustainability communities to drive our eight Sustainability Goals 2025. Comprising champions from all units, the communities regularly review progress against their respective goals. They meet on a monthly basis.
This community works on energy and carbon management, and assists in estimating carbon pricing. It conducts audits, energy & carbon risk assessments, and implements mitigation measures to reduce energy emissions (Scope 1 and 2 emissions) and meet GHG targets. It tracks the performance of energy conservation and clean development mechanism (CDM) projects.
This community works on water conservation projects. To achieve the goal of water consumption reduction, it conducts regular water audits and water risk assessments, and plans innovative methods for reducing specific water consumption. The community reviews the performance of water conservation projects and promotes water saving culture at Hindustan Zinc.
This community conducts research and development to plan innovative ways to reduce and reuse waste. It tracks the Company’s performance against the target for waste minimisation and promotes utilisation of all waste generated from operations.
The primary responsibility of this community is to work towards biodiversity conservation by updating the Company’s biodiversity management plans and increasing the green cover across Hindustan Zinc. The community also follows up on regular basis on the ongoing biodiversity conservation projects.
The role of this community is to plan and execute the organisation’s strategic roadmap. It helps achieve the Company’s zero-harm vision by establishing and implementing various safety systems, standards, rules and procedures.
The CSR community is aligned with various international and national sustainable development agendas, including the UN Guiding Principles (UNGP) for Business and Human Rights, the UN Sustainable Development Goals, the National Guidelines on Responsible Business Conduct, and the various national priorities. It is working on a target to impact one million+ lives positively. The community has conducted a baseline assessment to understand the community needs and is engaged in strengthening Hindustan Zinc’s social plans accordingly.
The People Community reviews and reframes the relevant policies for promoting equal opportunity, and an inclusive and diverse workforce in the organisation. It prepares the workforce for leadership roles, conducts internal engagement surveys, raises awareness and communicates with external stakeholders.
This community conducts a responsible supplier due diligence for suppliers, and reviews and implements the Company’s supply chain sourcing policy, code and framework. It screens and classifies Hindustan Zinc’s suppliers into different tiers as per their ESG impacts, and develops mitigation plans to minimise such impacts. The community works on developing a sustainable supply chain with the help of local sourcing to reduce the organisation’s carbon footprint.
This community works to drive ESG communication across different platforms, with both internal and external stakeholders. It works on building a reputation for the organisation for its ESG initiatives.
The community drives ESG integrations in due diligence of projects (expansion and acquisitions), ESG adjusted Internal Rate Return (IRR) calculations, and in integrated reporting. It helps enhance the overall governance of the Company’s ESG journey.
We have established the SBU ESG Committee at all our strategic business units (SBUs). It ensures the implementation of sustainability practices pertaining to ESG aspects in alignment with the guidance provided by the committees at the above two tiers to achieve the sustainability goals for 2025. This Committee also ensures continual identification and monitoring of risk arising at the location, its impact and appropriate mitigation efforts to minimise or eliminate the risk.
